BOARD OF STATUTORY AUDITORS

The Issuer’s Board of Statutory Auditors will remain in office until  the date of the Shareholders’ Meeting called to approve the financial statements as at 31 December 2025

Antonio Venturini

Chairman of Board of Statutory Auditors

 

Antonio Venturini, born in Ravenna on 8 February 1966, graduated in Economics and Banking from the University of Siena. He is registered with the Ravenna chapter of the Italian Association of Certified Public Accountants, Auditors and Advisors,, with the Register of Legal Auditors, and  is listed as an Expert and Technical Consultant with the Court of Ravenna.

He is  the founder member of a firm of accountants headquartered in Ravenna and a Consultancy operating in Italy and abroad.

Mr Venturini has gained significant experience over the years in the field of contract management, acquisitions, fiscal planning, and financial restructuring, acting as trustee to bank creditors.

He serves in an administrative and supervisory role with many major businesses in the industrial, commercial and utilities sectors.


Daniela Baesi

Standing Statutory Auditor

 

Daniela Baesi, born in Bologna on 30 January 1971, graduated in Economics and Commerce in 1996, and is registered with the Italian Association of Certified Public Accountants, Auditors and Advisors.

From 1997 to June 2007, she was an auditor with PwC S.p.A., and from July 2007 to August 2011, chief administration and finance officer for a leading Italian contract and design company.

With expertise mainly in company administration and accounting, Ms Baesi has served as statutory auditor and external auditor to key industrial companies.

She has supervisory roles with the Fondazione Carisbo, in the Eurizon Alternative Global Asset Allocation Fund. She is a partner in the practice GdC & Associati headquartered in Bologna.

She is also a member of the Study Commission ‘Business Plans to Support Extraordinary Operations’ and of the Study Commission ‘Auditing Principles’ at the Order of Chartered Accountants of Bologna.


Roberto Franco Fiore

Standing Statutory Auditors

 

Roberto Franco Fiore, born in Lagonegro (PZ) on 4 September 1972, graduated in Economics and Commerce from the University of Bologna in 1998, the following year completing a Master’s course in Tax Law at the INFOR Business School. He has been registered with the Bologna chapter of the Italian Association of Certified Public Accountants, Auditors and Advisors since 2003. His professional career includes collaboration from 2002 to 2005 with the Bologna office of Deloitte&Touche S.p.A., with KPMG S.p.A. Bologna from 2002 to 2011, and with Arthur Andersen International from 1999 to 2000.

Over the years he has served as chairman and standing statutory auditor of the Boards of Statutory Auditors of several private and prevalently public companies.

His practice offers consultancy in the areas of civil, tax, and accounting law as well as tax litigation services.


Maurizio Calzolari

Alternate Statutory Auditor

 

Maurizio Calzolari, born in Finale Emilia (MO) on 14 March 1961, graduated in Economics and Commerce from the University of Bologna in 1987. He has been registered with the Ferrara chapter of the Italian Association of Certified Public Accountants, Auditors and Advisors since 1999, and has been on the rolls of Cooperative Auditors of the Ministry of Economic Development since 1995.

From 1988 to 1992, he was assistant to the head of management control with a national cooperative consortium headquartered in Bologna, becoming department head in January 1991. From 1993 to 1996, Mr Calzolari worked as an administrative and managerial consultant especially with cooperative organizations.

Since 1999, he has served as liquidator for cooperatives in compulsory receivership, and since 1996 acted as chairman and standing statutory auditor of numerous joint stock companies.


Maria Vittoria Pegoli

Alternate Statutory Auditor

 

Maria Vittoria Pegoli, born in Lesina (FG) on 2 October 1964, graduated in Economics and Commerce from the G. D’Annunzio University of Chieti. Registered with the Bologna chapter of the Italian Association of Certified Public Accountants, and on the Auditors rolls, Ms Pegoli operates as an independent accountant, auditor, and statutory auditor from her own firm in Bologna.

She has considerable consulting experience in ordinary and extraordinary tax and company matters, both with regard to partnerships and joint-stock companies.

Ms Pegoli is currently a Director on the Board of the Bologna Chamber of Commerce, a member of the Supervisory Committee of the cooperative CAM in Molinella, and the Commission on Company and Benefit Corporation Sustainability of the Bologna chapter of Certified Public Accountants. She also acts
as external auditor and standing statutory auditor for joint-stock companies and cooperatives.
