The Issuer’s Board of Statutory Auditors will remain in office until the date of the Shareholders’ Meeting called to approve the financial statements as at 31 December 2028
Antonio Venturini
Chairman of Board of Statutory Auditors
Antonio Venturini, born in Ravenna on 8 February 1966, graduated in Economics and Banking from the University of Siena. He is registered with the Ravenna chapter of the Italian Association of Certified Public Accountants, Auditors and Advisors,, with the Register of Legal Auditors, and is listed as an Expert and Technical Consultant with the Court of Ravenna.
He is the founder member of a firm of accountants headquartered in Ravenna and a Consultancy operating in Italy and abroad.
Mr Venturini has gained significant experience over the years in the field of contract management, acquisitions, fiscal planning, and financial restructuring, acting as trustee to bank creditors.
He serves in an administrative and supervisory role with many major businesses in the industrial, commercial and utilities sectors.
Daniela Baesi
Standing Statutory Auditor
Daniela Baesi, born in Bologna on 30 January 1971, graduated in Economics and Commerce in 1996, and is registered with the Italian Association of Certified Public Accountants, Auditors and Advisors.
From 1997 to June 2007, she was an auditor with PwC S.p.A., and from July 2007 to August 2011, chief administration and finance officer for a leading Italian contract and design company.
With expertise mainly in company administration and accounting, Ms Baesi has served as statutory auditor and external auditor to key industrial companies.
She has supervisory roles with the Fondazione Carisbo, in the Eurizon Alternative Global Asset Allocation Fund. She is a partner in the practice GdC & Associati headquartered in Bologna.
She is also a member of the Study Commission ‘Business Plans to Support Extraordinary Operations’ and of the Study Commission ‘Auditing Principles’ at the Order of Chartered Accountants of Bologna.
Antonio Gaiani
Standing Statutory Auditors
Antonio Gaiani, born in Bologna on October 16, 1965, graduated in Economics and Business from the University of Bologna. He is a chartered accountant and statutory auditor, registered with the Order of Chartered Accountants of Bologna since 1993 and with the Register of Statutory Auditors since 1999.
He mainly works in the field of business crisis, insolvency procedures, corporate restructuring, and economic and financial litigation, holding numerous roles as bankruptcy trustee, judicial commissioner, liquidator, advisor, and certifier. He also serves as a court-appointed and party-appointed technical expert and valuation expert.
Over the years, he has held management and supervisory positions in public and private companies, including roles as member and chairman of boards of statutory auditors in companies of the Hera Group, BolognaFiere Cosmoprof S.p.A., and the Fondazione del Monte di Bologna e Ravenna, where he is Chairman of the Board of Statutory Auditors. He is also a statutory auditor of Hera S.p.A. and a member of the Board of Statutory Auditors of the National Research Center Foundation in High Performance Computing, Big Data and Quantum Computing – Tecnopolo of Bologna.
He is a speaker at conferences and co-author of specialist publications on business crisis matters.
Maurizio Calzolari
Alternate Statutory Auditor
Maurizio Calzolari, born in Finale Emilia (MO) on 14 March 1961, graduated in Economics and Commerce from the University of Bologna in 1987. He has been registered with the Ferrara chapter of the Italian Association of Certified Public Accountants, Auditors and Advisors since 1999, and has been on the rolls of Cooperative Auditors of the Ministry of Economic Development since 1995.
From 1988 to 1992, he was assistant to the head of management control with a national cooperative consortium headquartered in Bologna, becoming department head in January 1991. From 1993 to 1996, Mr Calzolari worked as an administrative and managerial consultant especially with cooperative organizations.
Since 1999, he has served as liquidator for cooperatives in compulsory receivership, and since 1996 acted as chairman and standing statutory auditor of numerous joint stock companies.
Luca Moscatiello
Alternate Statutory Auditor
Luca Moscatiello, born in Bologna on March 9, 1966, graduated with honors in Economics and Business from the University of Bologna. He is a chartered accountant and statutory auditor, registered with the Order of Chartered Accountants of Bologna since 1992 and with the Register of Statutory Auditors since 1995.
He practices professionally in Bologna as founding partner and sole director of Studio Montanari, Moscatiello e Lombardo S.r.l. STP. He has gained extensive experience in corporate, tax, and auditing matters, holding numerous positions in management, supervision, and liquidation in both public and private companies, including those owned by public bodies and universities.
During his career, he has served as chairman and member of boards of statutory auditors, chief executive officer, sole director, and liquidator in many industrial, financial, and service companies operating in various sectors. He has also been appointed as Liquidator Commissioner by the Ministry of Economic Development.
He is currently a member of boards of directors and supervisory bodies and serves as a member of the Board of Statutory Auditors of the Chamber of Commerce of Bologna.
