BolognaFiere S.p.A. undertakes to ensure conditions of correctness and transparency in the conduct of business and corporate activities to protect its position and image, the expectations of its customers, partners and the work of its employees and collaborators. The Company, aware of the importance of adopting an internal control system suitable for preventing the commission of unlawful conduct by its directors, employees, collaborators and business partners, has chosen to adopt an Organisational, Management and Control, in line with the principles of transparency and correctness that distinguish it.

This document represents the Organisation, Management and Control Model, adopted pursuant to Legislative Decree 231/2001 by the Board of Directors of BolognaFiere S.p.A. in the updated version with resolution of 24 July 2019.

Legislative Decree 231/01 has in fact introduced into the Italian legal system a particular form of administrative liability for companies, associations (even without legal personality) and other entities with legal personality for the commission of the specifically envisaged crimes.

The Organization, Management and Control Model of BolognaFiere consists of a General Section which contains the principles and purposes of the Model and Special Sections which explore the most significant types of crimes and offenses to be prevented and the additional attachments and provisions referred to.

Furthermore, to complete the Model, a disciplinary system is envisaged which sanctions infringements according to criteria of gradualness and proportionality of the sanction in relation to the behavior detected.

The Code of Ethics, which is an integral part of the Model, defines the values ​​and ethical responsibilities that Group companies assume towards all their interlocutors with the aim of increasing and protecting the Group's identity and efficiency.

BolognaFiere S.p.A. has appointed a specific Supervisory Body, with independent powers of initiative and control, which supervises the observance and effectiveness of the Model. To this, employees, collaborators and external subjects in a relationship of interest with BolognaFiere S.p.A. (suppliers, customers, commercial partners, etc.) can contact them to communicate any unlawful behavior or malfunctions and shortcomings of the Model itself (Whistleblowing).
